Terms of Service

1. Acceptance of Terms

By accessing or using SpyBuild™ ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. SpyBuild Pty Ltd ("we", "us", or "our") reserves the right to modify these Terms at any time.

2. Description of Service

SpyBuild is a business management platform designed for tradespeople and skilled workers. Our services include:

• Invoice and quote generation
• Job and client management
• AI-powered tools (quote builder, job matching)
• Calendar and scheduling
• Time tracking and job cards
• Community features (feed, marketplace, job board)
• Integration with third-party services (Xero, Stripe)

3. User Accounts

3.1 Registration

To use SpyBuild, you must create an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access or security breach.

3.3 Account Types

SpyBuild offers different account types:

• Tradesperson/Worker - Full access to business management tools
• Client - Limited access for posting jobs and viewing quotes

4. Subscription Plans and Pricing

4.1 Free Plan

Limited to 3 invoices and 3 quotes per month. Includes SpyBuild branding on documents.

4.2 Pay Per Invoice (1%)

Unlimited invoices and quotes. We charge 1% of each invoice amount when it's created. Payment is processed via Stripe.

4.3 Pro Plan ($15/month)

All features unlocked, including:

• Unlimited invoices and quotes (0% fees)
• Free Job Board leads (normally $7.50 each)
• AI Assistant and AI Scale features
• Remove SpyBuild branding
• Xero integration
• Priority support

4.4 Billing and Cancellation

Pro subscriptions are billed monthly via Stripe. You may cancel anytime. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

5. User Conduct

You agree NOT to:

• Use the Platform for any illegal or unauthorized purpose
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or harm other users
• Impersonate another person or entity
• Attempt to access another user's account without permission
• Scrape, crawl, or extract data from the Platform
• Interfere with the proper functioning of the Platform
• Post false, misleading, or fraudulent information
• Violate any applicable laws or regulations

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you create on SpyBuild (invoices, quotes, photos, posts). By using the Platform, you grant us a license to store, process, and display your content as necessary to provide our services.

6.2 SpyBuild Intellectual Property

SpyBuild™, our logo, design, code, and features are protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written permission.

6.3 Community Content

Content posted in public areas (Feed, Marketplace, Job Board) may be visible to other users. You are responsible for ensuring you have the right to share such content.

7. Job Board and Lead Purchases

The Job Board allows tradies to purchase leads for $7.50 each (free for Pro users). By purchasing a lead:

• You gain access to the client's contact information
• You agree to contact the client professionally
• Lead purchases are final and non-refundable
• We do not guarantee that you will win the job

8. AI-Powered Features

SpyBuild uses AI (powered by OpenAI) for features like quote generation and job matching. While we strive for accuracy, AI-generated content may contain errors. You are responsible for reviewing and verifying all AI-generated quotes, invoices, and recommendations before sending them to clients.

9. Third-Party Integrations

SpyBuild integrates with third-party services:

• Stripe - Payment processing. Subject to Stripe's Terms.
• Xero - Accounting sync (Pro users). Subject to Xero's Terms.
• OpenAI - AI features. Subject to OpenAI's Terms.

We are not responsible for the actions or policies of third-party services.

10. Disclaimers and Limitation of Liability

10.1 "As-Is" Service

SpyBuild is provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure operation.

10.2 No Professional Advice

SpyBuild is a software tool. It does not provide legal, financial, or tax advice. Consult professionals for such matters.

10.3 Limitation of Liability

To the maximum extent permitted by law, SpyBuild Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform.

10.4 Maximum Liability

Our total liability for any claim arising from your use of SpyBuild shall not exceed the amount you paid us in the 12 months prior to the claim.

11. Indemnification

You agree to indemnify and hold harmless SpyBuild Pty Ltd, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or other reasons at our discretion. You may delete your account at any time from the Settings page. Upon termination, your data will be deleted in accordance with our Privacy Policy.

13. Dispute Resolution

Any disputes arising from these Terms or your use of SpyBuild shall be resolved through good faith negotiation. If negotiation fails, disputes shall be governed by the laws of New South Wales, Australia, and subject to the exclusive jurisdiction of the courts in Sydney.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the Platform. Continued use after changes indicates your acceptance of the new Terms.

15. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, term, or condition, right, or remedy implied or imposed by the Australian Consumer Law (ACL) or other applicable law that cannot be excluded, restricted, or modified.
